Project Overview and Role

The USAID Financing Ghanaian Agriculture Project (USAID FinGAP) addresses a key constraint restricting the development of commercial agriculture and food security in Ghana?access to finance necessary to enable investment in agricultural value chains. USAID FinGAP has in the past four years used a comprehensive approach to facilitate agriculture financing, including but not limited to engaging a broad range of Ghanaian financial institutions (FIs) (e.g., banks, private equity firms, and investment funds) as well as Business Advisory Service (BAS) providers, in partnership with strategic investors and buyers of maize, rice, and soy. USAID FinGAP facilitates investment in the agriculture sector in Ghana that complements Government of Ghana (GOG) and other donor programs aimed at expanding commercial agriculture. To date, USAID FinGAP has facilitated over $140 million in finance to over 2,400 Agribusiness SMEs.

Securities markets in Ghana represent an important alternative form of financing, i.e., alternatives to bank financing, for local SMEs. With the assistance of specialized Business Advisors, USAID FinGAP has helped Ghanaian firms to list debt and equity issues on the Ghanaian capital markets. The GSE, launched in 1990 with an initial listing of 11 securities, the GSE now lists 45 securities and operates in three market segments: the main equity board (GSE), the alternative market (GAX) dedicated to SMEs, and a fixed-income market (GFIM).
USAID FinGAP aims to support the GSE as it seeks to grow as an organization and expand listings of securities of Ghanaian SMEs. At the same time, USAID FinGAP will be meeting the PFG access to finance goals, 4 and 5 named above. To that end, the project seeks a Capital Markets Specialist to identify Ghanaian SMEs that would be good candidates for listing on the GSE, GAX, or GFIM.

 

Responsibilities

The objective of this assignment is to strengthen capital markets in Ghana, thereby expanding the options available to SMiLEs for accessing financing. The Capital Markets SME Specialist will achieve this by identifying additional Ghanaian SMiLEs to list securities on the GSE, GAX, or GFIM. This will ultimately help expand capital markets in Ghana and improve the country?s overall financial ecosystem providing access to finance for enterprises in Ghana.

C. ACTIVITIES
1.Activities to be undertaken shall include:
Conducting an assessment of Ghanaian SMEs, identifying at least 50 firms that would be  good candidates for listing equity or debt securities on the GSE, GAX, or GFIM;
Working with the GAX Officer in prospecting for companies for the GAX;
Preparing a list of  targeted companies, which would include information as to: Business type, description of business
Type of financing needed (i.e., debt or equity), and whether the financing be used for capital expenditures or working capital
Amount of financing needed and term of financing, i.e., short, medium, or long term
Purpose for the request, i.e., proposed utilization of funds
Last 3 years (if available) annual revenue/turn-over
Contact information
Other information that the GSE may require to form a database for prospective companies listing securities.

Visiting and making presentations to the owners and key executives of such companies on the benefits and incentives of listing securities on the capital markets; and
Engaging trade associations such as the Ghana Associations of Bankers, Industry, etc., and making presentations on the benefits and incentives for listing securities on the markets.

2.Assessment of listing candidate SMEs, as to high, low, or medium chance for the companies to list securities, in addition to what are the needs (or desires) of each company in order to list, e.g.: Which segment, the GSE, GAX, or GFIM
Transformation to a public company
Capital infusion
Updated and accurate books and records
3-year business plan
Historical 3-year financials
Assessment of listing candidate SMEs, as to high, low, or medium chance for the companies to list securities, in addition to what are the needs (or desires) of each company in order to list, e.g.: Which segment, the GSE, GAX, or GFIM

E.  LEVEL OF EFFORT and TIMING OF ASSIGNMENT

The consultant(s) shall spend up to 50 LOE days on this assignment.

It is expected that this assignment will commence in or around December 2017, with the assignment to be completed by March 2018. Planning and preparation to engage the GSE will be conducted in close coordination with the Financial Sector Support Unit of USAID FinGAP.  Note: dates may shift as related to commencement of assignment.

F. REPORTING

The consultant will report to the Chief of Party or his/her designate and will work closely with the Financial Sector Support Unit of USAID FinGAP. All outputs and reports are to be delivered in writing, in English, and transmitted electronically.

 

Requirements

The Capital Markets SME Specialist will meet the following qualifications: At least five to years? experience with (Ghanaian) capital markets; international experience preferred
Knowledge of the SME landscape in Ghana
Strong verbal and written communications skills
